    1. Agreement to Terms

    These Terms of Service ("Terms") form a binding agreement between you ("you" or "Customer") and Zonix Labs, Inc., a Delaware corporation operating as "Dataset Labs" ("Dataset Labs", "we", "us"). By accessing or using datasetlabs.ai, our APIs, or any related services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.

    2. Description of Service

    Dataset Labs is a platform that uses AI agents, web research, and third-party data providers to help users build structured datasets and lists — such as prospect lists, research catalogs, and enrichment tables — from a plain-language description. Features, pricing, and capabilities may change as we improve the product.

    3. Accounts

    • You must provide accurate information when creating an account.
    • You are responsible for activity on your account and for keeping your credentials secure.
    • You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service.
    • One person or entity may not maintain multiple accounts to circumvent free-tier limits.
    • You must promptly notify us of any suspected unauthorized access at security@datasetlabs.ai.

    4. Acceptable Use

    You agree not to use the Service to:

    • Violate any applicable law, including data protection, anti-spam, export-control, or intellectual property laws.
    • Generate or distribute content that is illegal, defamatory, harassing, deceptive, or that infringes the rights of others.
    • Scrape, access, or build datasets from sources in violation of those sources' terms or technical protections, or from sources behind authentication you do not have rights to.
    • Collect sensitive personal data (including data about children, health data, or special-category data under GDPR Article 9) unless you have the necessary legal basis and have notified us in writing.
    • Use outputs to train competing machine-learning models or to replicate the Service.
    • Attempt to reverse engineer, probe for vulnerabilities, or interfere with the Service, except as permitted under our responsible-disclosure program.
    • Circumvent usage limits, rate limits, or access controls.
    • Send unsolicited commercial messages (spam) to contacts generated via the Service in violation of CAN-SPAM, CASL, GDPR, or equivalent laws.

    We may suspend accounts that violate this policy while we investigate.

    5. Payments and Credits

    • Paid features are billed via credits or a subscription, as described at datasetlabs.ai/pricing.
    • Credits are purchased in advance and consumed as the Service is used. Consumption rates depend on the work performed and may vary.
    • All purchases are final and non-refundable except where required by law. Unused credits do not expire.
    • We may change pricing with reasonable prior notice. Changes do not apply to credits already purchased.
    • Taxes are your responsibility unless we are required to collect them.
    • Payments are processed by Stripe, Inc.; your card details are handled by Stripe under its terms.

    6. Your Content and Data

    • You retain ownership of files you upload ("Customer Content") and datasets you generate ("Outputs").
    • You grant Dataset Labs a worldwide, non-exclusive, royalty-free license to host, process, and transmit Customer Content solely to provide the Service to you.
    • You represent that you have the rights to upload Customer Content and to use Outputs for your intended purpose, and that your use complies with applicable laws including data-protection laws.
    • We do not use your Customer Content or Outputs to train AI models.
    • Our handling of personal data is described in the Privacy Policy.

    7. Intellectual Property

    The Service, including its software, design, content, and trademarks, is owned by Zonix Labs, Inc. and its licensors. Except for the limited rights granted in these Terms, no rights are transferred to you. You may not copy, modify, or create derivative works of the Service, or remove any proprietary notices.

    8. Third-Party Services and Data

    The Service may interact with third-party websites, APIs, and data providers. We are not responsible for the content, accuracy, or availability of third-party sources, and your use of Outputs derived from third parties is subject to those providers' own terms where applicable.

    9. Accuracy Disclaimer

    Outputs are produced by AI systems and automated research and may be inaccurate, incomplete, or out of date. You are responsible for reviewing and validating Outputs before relying on them, especially for outreach, hiring, lending, housing, or other decisions that affect individuals.

    10. Disclaimers

    THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

    11. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZONIX LABS, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) USD $100 OR (B) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM.

    12. Indemnification

    You agree to indemnify and hold harmless Zonix Labs, Inc. from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your Customer Content, your use of Outputs, or your breach of these Terms or applicable law.

    13. Termination

    You may stop using the Service and delete your account at any time from the app or by contacting us. We may suspend or terminate your access for violation of these Terms, suspected abuse, or failure to pay. Sections that by their nature should survive termination will survive (e.g., IP, disclaimers, limitation of liability, indemnification, governing law).

    14. Changes to the Service and Terms

    We may modify the Service or these Terms from time to time. If we make material changes to the Terms, we'll notify you by email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance. If you do not agree, stop using the Service.

    15. Governing Law and Disputes

    These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. Any dispute will be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there. Nothing in this section limits rights that cannot be waived under applicable consumer protection laws of your country of residence.

    16. Miscellaneous

    These Terms, together with the Privacy Policy and any order form, are the entire agreement between you and us regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.

    Affiliate Program Terms

    These Affiliate Program Terms ("Affiliate Terms") form part of the Dataset Labs Terms of Service and govern your participation in the Dataset Labs affiliate program (the "Program"). By enabling your affiliate profile in the app or requesting a payout, you agree to be bound by these Affiliate Terms in addition to the general Terms above. If you do not agree, do not participate in the Program.

    A1. Definitions

    • Affiliate: a Dataset Labs account holder who participates in the Program.
    • Affiliate Dashboard: the section of the Dataset Labs app (at /referrals) where the Affiliate's referral link, commission balance, and payout requests are managed.
    • Commission: the dollar amount earned by the Affiliate based on eligible payments made by Referred Customers.
    • Lead: a prospective customer directed to Dataset Labs by the Affiliate via the Referral Link.
    • Referral Link: the unique URL containing the Affiliate's referral code, generated by Dataset Labs and made available in the Affiliate Dashboard.
    • Referred Customer: a new Dataset Labs customer who signed up through the Affiliate's Referral Link and had the referral attributed at signup.

    A2. Enrollment

    • Every active Dataset Labs account is automatically eligible to participate. A profile is created on first visit to /referrals and requires no separate application or approval.
    • Dataset Labs reserves the right to decline or terminate any Affiliate's participation at its sole discretion, including for fraud, abuse, misleading promotion, brand-safety concerns, or repeated violations of these Affiliate Terms.
    • The relationship between the Affiliate and Dataset Labs is that of independent contractors. These Affiliate Terms do not create a partnership, joint venture, franchise, employment, or agency relationship. Neither party has authority to bind the other.
    • The right to promote Dataset Labs is non-exclusive. Dataset Labs may engage other affiliates or conduct any marketing activity itself.

    A3. Affiliate obligations

    The Affiliate agrees to:

    • Comply with all applicable laws and regulations, including data-protection, anti-spam (CAN-SPAM, CASL, GDPR, equivalent), advertising-disclosure (FTC endorsement guidelines), and consumer-protection laws.
    • Refrain from promoting Dataset Labs through unlawful, illegal, deceptive, misleading, or offensive channels.
    • Refrain from sending unsolicited bulk email, SMS, or similar communications to promote Dataset Labs.
    • Refrain from self-referrals, sockpuppet accounts, fake signups, or any scheme intended to manipulate referral tracking.
    • Refrain from bidding on "Dataset Labs", "datasetlabs", variants, misspellings, domain names, or other Dataset Labs trademarks or brand terms in Google Ads, Meta Ads, Microsoft Ads, or any other paid search or social advertising platform.
    • Refrain from running ads that would compete with Dataset Labs' own marketing or cause confusion for prospective customers.
    • Represent Dataset Labs, its pricing, its features, and its capabilities accurately. Do not make claims that cannot be substantiated or that Dataset Labs cannot fulfill.
    • Use only current versions of any marketing materials provided by Dataset Labs, and not alter logos, product screenshots, or copy without prior written permission.
    • Follow any reasonable requests or requirements Dataset Labs makes regarding the form or substance of promotional activities.

    Abuse of the Program or its tools, or breach of this section, entitles Dataset Labs to terminate the Affiliate's participation immediately and forfeit any unvested Commission.

    A4. Commission

    • Rate: 25% of every eligible payment made by a Referred Customer, unless a different rate is agreed with the Affiliate in writing.
    • Eligible payments: (i) recurring subscription renewals (e.g., Starter, Growth, Pro) and (ii) one-time credit-pack ("top-up") purchases, in each case for Referred Customers who remain attributed to the Affiliate.
    • Attribution: a Lead becomes a Referred Customer only if the Referral Link was used at signup. Referrals cannot be applied retroactively — a customer who signed up without the Referral Link cannot be converted into a Referred Customer later.
    • Duration: once a customer is attributed, the Affiliate is entitled to Commission on their eligible payments for 12 months from the customer's signup date, subject to these Affiliate Terms. After that period, no further Commission accrues on payments from that customer.
    • Not eligible: (i) payments from customers who were Dataset Labs users before the referral; (ii) payments that are refunded, disputed, or charged back; (iii) activity generated through fraud, self-referral, or breach of these Affiliate Terms; (iv) any revenue or fees other than those listed above (e.g., enterprise contracts, professional services).
    • All Commission amounts are inclusive of any VAT, GST, or other applicable sales or service taxes. The Affiliate is responsible for any taxes due on Commission received.

    A5. Holding period and reversal

    • Commission on each eligible payment is recorded immediately and placed in a holding period of 14 days before becoming available for withdrawal. This covers the standard window in which the underlying payment may be refunded, disputed, or charged back through Stripe.
    • If the underlying payment is later refunded, disputed, charged back, or otherwise reversed, the corresponding Commission is reversed. If it has already been paid out, Dataset Labs may deduct the amount from future payouts or, if no future payouts are reasonably expected, invoice the Affiliate for the amount.
    • Commission generated in breach of these Affiliate Terms (fraud, self-referral, etc.) is forfeit in full, including any amount already paid.

    A6. Payouts

    • Method: PayPal. The Affiliate provides a PayPal email when requesting a payout.
    • Currency: US dollars. The Affiliate bears any currency-conversion costs or PayPal fees on the receiving side.
    • Minimum withdrawal: $10.00 USD.
    • Cadence: payouts are Affiliate-initiated via the Affiliate Dashboard. Dataset Labs sends the payment within 7 business days of the request.
    • Statement: a per-payment breakdown of accrued, available, and paid-out Commission is visible in the Affiliate Dashboard. The Affiliate is responsible for reviewing it. Any discrepancy must be reported within 7 days of the payment in question; after that, the statement is deemed final.
    • Taxes: the Affiliate is solely responsible for paying income, self-employment, or other taxes on Commission received. Dataset Labs will not withhold taxes from payouts.
    • Tax forms: Affiliates receiving more than USD $600 in total Commission in a calendar year (US persons) must provide a completed IRS Form W-9 before their earnings cross that threshold. Non-US Affiliates must provide a completed IRS Form W-8BEN or W-8BEN-E on request. Dataset Labs may withhold payouts until a required tax form is received.

    A7. Term and termination

    • Participation begins when the Affiliate first views their Referral Link or enables their affiliate profile, and continues until terminated.
    • Either party may terminate participation at any time, for any reason or no reason, effective immediately, by written notice (email is sufficient) or — for the Affiliate — by discontinuing use of the Program.
    • On termination: Commission already in the "available" state as of the termination date remains payable to the Affiliate, subject to the minimum-withdrawal threshold and any outstanding tax-form requirement. Commission still within its 14-day holding period at the termination date is forfeit, unless termination is by Dataset Labs without cause, in which case it is paid once the holding period ends.
    • Commissions generated in breach of these Affiliate Terms are not owed; Dataset Labs may claw back any such amounts already paid.
    • No buyout fee is payable on termination.

    A8. Intellectual property and brand use

    • Each party retains all right, title, and interest in its own intellectual property. Nothing in these Affiliate Terms transfers IP between the parties.
    • Dataset Labs grants the Affiliate a limited, non-exclusive, revocable, non-transferable license to use the "Dataset Labs" name and its logos, solely for the purpose of promoting Dataset Labs as contemplated by the Program, and only in the form Dataset Labs makes available. The Affiliate may not modify logos, create misleading product screenshots, use outdated pricing or product claims, or represent themselves as a Dataset Labs employee, partner, or spokesperson.
    • Dataset Labs may mention the Affiliate's name or logo on its website or marketing materials unless the Affiliate notifies Dataset Labs in writing that it does not consent.

    A9. Confidentiality

    Non-public information the Affiliate receives in connection with the Program — including Commission rates, the identities of Referred Customers, their spend amounts, unreleased product information, and analytics data — is confidential. The Affiliate may not disclose it except as required by law. The exceptions set out in Section 9 above (public information, prior possession, independent development, etc.) apply here as well.

    A10. Liability

    The disclaimers and limitations in Sections 10 and 11 above apply to the Program. In addition, Dataset Labs' total aggregate liability to any Affiliate arising out of or relating to the Program is limited to the total Commission paid to that Affiliate in the three (3) months preceding the claim. Dataset Labs is not liable for lost commissions, missed referrals, tracking inaccuracies outside its control, or any indirect, incidental, or consequential damages.

    A11. Amendments

    Dataset Labs may amend these Affiliate Terms at any time. Material changes will be announced by in-app notice or email at least 14 days before they take effect. Continued participation after the effective date constitutes acceptance. If the Affiliate does not accept a change, the Affiliate's sole remedy is to terminate participation under Section A7 before the effective date.

    A12. Governing law and disputes

    These Affiliate Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. Any dispute will be brought exclusively in the state or federal courts located in Delaware. The provisions of Sections 15 and 16 above apply to these Affiliate Terms.
